These Terms and Conditions (“Terms”) govern your access to and use of the website and services provided by Ungate Information Services (“Ungate,” “we,” “us,” or “our”), available at ungate.info (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

1. Use of the Website

Ungate provides a business-to-business directory and information platform for informational and discovery purposes. You may use the Site only in accordance with these Terms and all applicable laws.

You agree not to:

  • Use the Site for unlawful, harmful, or misleading purposes;

  • Scrape, copy, or extract directory content in bulk or for resale;

  • Introduce viruses, malware, or other harmful code;

  • Interfere with the security or operation of the Site;

  • Misrepresent your identity or the information you submit.

Ungate reserves the right to restrict or revoke access to any user who violates these Terms or misuses the Site.

2. User Accounts

Some features of the Site may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Ungate may suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms.

3. Information Accuracy and Disclaimer

Ungate aims to provide accurate and up-to-date business information, but we do not guarantee the completeness, reliability, or accuracy of listings, data, or third-party content on the Site.

The Site is provided “as is” and “as available,” without warranties of any kind, either express or implied. We disclaim all warranties including, but not limited to:

  • Accuracy, completeness, or reliability of content

  • Availability, uninterrupted access, or error-free operation

  • Non-infringement, merchantability, or fitness for a particular purpose

You acknowledge that reliance on any information provided by Ungate is at your own risk.

4. Listings and Submissions

If you submit or claim a listing, review, or other content, you agree that:

  • The information you provide is accurate, up to date, and not misleading;

  • You have the legal right to submit the content;

  • You grant Ungate a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the content for directory and promotional purposes.

Ungate reserves the right to edit, remove, or refuse any listing or submission at our sole discretion.

5. Intellectual Property

All content on the Site, including logos, text, software, graphics, and directory data, is the intellectual property of Ungate or its licensors and is protected by Canadian and international copyright, trademark, and other laws.

You may not use, reproduce, distribute, or create derivative works from Site content without our express written consent, except for personal, non-commercial reference.

6. Third-Party Links and Content

The Site may contain links to third-party websites or services. Ungate is not responsible for the content, policies, or practices of any third-party sites, and your interactions with such sites are governed by their respective terms.

7. Limitation of Liability

To the fullest extent permitted by law, Ungate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from or related to:

  • Your use of or inability to use the Site;

  • Errors or omissions in directory content;

  • Unauthorized access to your account or data.

Ungate’s total liability in connection with these Terms will not exceed CAD $100, regardless of the cause of action.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ungate, its affiliates, directors, officers, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your:

  • Use of the Site;

  • Violation of these Terms;

  • Submission or misuse of information or listings.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information in compliance with PIPEDA and other applicable Canadian privacy laws.

10. Modifications

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Vancouver, British Columbia.
